1. Acceptance of Terms & Eligibility

By downloading, accessing, browsing, registering on, or using the ShopChat AI application (available on Android, iOS, or via https://shopchatai.net), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Age Eligibility: The platform is strictly intended for individuals who are at least 18 years of age and legally capable of entering into binding contracts under the Indian Contract Act, 1872. If you are under 18 years of age, you may browse the platform only under the active supervision and consent of a parent or legal guardian.

2. Platform Nature & Intermediary Status

ShopChat AI functions as a digital technology intermediary and discovery marketplace connecting shoppers, local retail stores, wholesalers, and manufacturers in accordance with Section 79 of the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

• Direct Commercial Relationship: Unless explicitly stated otherwise, contracts for the purchase, sale, delivery, and warranty of products showcased on ShopChat AI are entered into directly between the respective Buyer and Seller/Merchant.
• No Middleman Markup: ShopChat AI does not own, manufacture, stock, or set the prices of third-party goods displayed by merchants on the platform.
• Safe Harbor: As an intermediary, One Group Pvt. Ltd. exercises statutory due diligence and operates a swift notice-and-takedown mechanism for unauthorized, counterfeit, or prohibited content.

3. Account Registration & OTP Security

To access features such as interactive live streaming, direct merchant messaging, and community chatrooms, users must create an account verified via 10-digit Indian mobile number OTP:

• You agree to provide true, current, and complete registration details.
• You are solely responsible for maintaining the confidentiality of your authentication credentials and device security.
• You must immediately notify us at support@shopchatai.net upon detecting any unauthorized access or security breach affecting your account.
• We reserve the right to suspend or terminate accounts that provide fraudulent information or violate security protocols.

4. Merchant & Manufacturer Responsibilities

Business owners, retailers, wholesalers, and manufacturers registering a digital storefront on ShopChat AI agree to the following obligations:

5. Interactive Live Streaming Code of Conduct

Our interactive live video streaming feature is powered by low-latency WebRTC technology to bring buyers and sellers face-to-face:

• Prohibited Broadcast Content: Broadcasters must never transmit sexually explicit content, violence, hate speech, defamatory remarks, harassment, unauthorized political advertising, or dangerous demonstrations.
• Viewer Comments & Interactions: Viewers participating in live stream chat must maintain courteous, respectful language. Harassment, spam, or abuse directed toward the host or other viewers will result in an immediate live broadcast ban and account suspension.
• Host Moderation Powers: Live stream hosts have full real-time authority to mute or eject abusive participants from their broadcast rooms.

6. State & City Community Chatroom Guidelines

ShopChat AI provides public state-level and city-level commercial chatrooms to encourage local trade discovery:

• Community chatrooms are designed for commercial discovery, localized business recommendations, and product inquiries.
• Unsolicited spamming, automated bot advertising, spreading misinformation, or distributing malicious files is strictly forbidden.
• Push notifications for community chatrooms are switched OFF by default to respect user privacy and prevent unwanted notification fatigue.

7. Intellectual Property & Trademarks

All trademarks, logos, UI designs, software architecture, and algorithms associated with ShopChat AI are the exclusive intellectual property of One Group Pvt. Ltd.

Users and merchants retain ownership of the original text, photos, and videos they upload to the platform. By uploading content, you grant One Group Pvt. Ltd. a non-exclusive, royalty-free, worldwide license to host, display, and distribute such content solely for the purpose of operating and promoting the ShopChat AI marketplace.

8. Prohibited Goods & Services

Users and merchants may not promote, list, negotiate, or sell any of the following items on ShopChat AI:

• Firearms, weapons, explosives, and dangerous chemicals.
• Narcotics, prescription drugs without license, and prohibited substances.
• Counterfeit, pirated, or stolen goods.
• Adult entertainment services and pornography.
• Gambling, lottery schemes, and unauthorized multi-level marketing (MLM) schemes.
• Endangered wildlife products and protected artifacts.

9. Limitation of Liability & Disclaimers

To the maximum extent permitted by applicable Indian law:

• ShopChat AI is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.
• One Group Pvt. Ltd. shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from transactions between buyers and sellers, delivery delays by third-party couriers, or temporary service interruptions.
• Our total aggregate liability for any proven claim arising out of these Terms shall not exceed the amount paid by you to the platform in the preceding three months, or ₹1,000 (INR), whichever is lower.

10. Governing Law, Grievance Officer & Jurisdiction

These Terms shall be governed by, interpreted, and construed in accordance with the laws of the Republic of India.

Any dispute, claim, controversy, or legal proceeding arising out of or relating to these Terms, the platform, or the services provided by One Group Pvt. Ltd. shall be subject to the exclusive jurisdiction of the competent courts having jurisdiction in Kanpur, Uttar Pradesh, India.
